| What is a Registered Agent, and why do you need one?
|
Virtually every state requires that a corporation or LLC have a Registered Agent, and most states require that the Agent maintain an office within the state of formation. If you fail to appoint a Registered Agent, then the state will take steps to prevent you from being able to do business in that state The Registered Agent's office address may be different from the entities business address. This individual or service company must be responsible for receiving important legal and tax documents. The Registered Agent must have a valid street address within the state of incorporation, and be available during normal business hours to receive documents. The services performed by a Registered Agent include, but are not limited to:
- Receiving and forwarding legal documents.
- Receiving and forwarding tax and report forms.
- Accepting and forwarding service of process.
Your Registered Agent's address is a matter of public record. Each state wants to make sure that its citizens and businesses have a way to contact you in the event they have a potential claim against you. Without a Registered Agent to receive legal process on your behalf, you could be defaulted for failing to answer the claim in a timely fashion. A Registered Agent is like car insurance. you may never need it, but you're required to have it - and you're glad you do when a problem occurs.
