Wrong Tax Lane (the W-9 trap)

A foreign-owned single-member LLC is a disregarded entity. The foreign owner cannot sign a W-9 as a U.S. person. TikTok requires W-9 certification, so the submission fails at the tax interview before TikTok looks at anything else.

The One-Upload Truth

TikTok verifies less than you think, and that is the trap. Exactly one document gets uploaded: your Representative’s government ID. Everything else, entity name, business address, EIN, is typed into fields and matched directly against IRS records. A smaller surface means every element weighs more.

And the real gate is the trust layer: a legitimate, accurate ID can still fail. The six-layer problem

You think this is one decision. It is actually six.

Most operators expanding to TikTok Shop assume verification is one decision wrapped in three checkboxes. Form an LLC. Find a U.S. friend or family member to be your Representative. Upload an ID. Submit. Here is why that mental model is killing accounts.

A true story

The seven-figure seller who was right about everything and still got rejected three times.

An operator doing seven figures on Amazon recently told us he was giving up on TikTok Shop after three rejections. He had the entity. He had a U.S. Representative ready. He was not wrong on any single decision. He just did not know there were six layers compounding against him. Here are all six.

“I just need a U.S. Business Representative.”

Not enough. Sourcing the role is the easy part. The hard part is what your Representative signs, what they can do wrong, what they control, what happens when they revise duties or change jobs, and how TikTok’s INFORM Act re-verification process treats them at month 13.
“I will set up an LLC.”

Not enough, and this is the expensive one. A generic single-member LLC owned by a foreign person is a disregarded entity under Treas. Reg. §301.7701-2: for federal tax purposes the LLC does not exist, the foreign owner is the taxpayer, and the W-9 certification of U.S.-person status is signed false, under penalties of perjury. TikTok Shop accepts only the W-9. The same entity carries a §6038A baseline the day it is formed: Form 5472 with a pro forma 1120 every year it exists, income or not, at $25,000 per unfiled year, with a statute of limitations that does not start running until the form is filed (§6501(c)(8)). The 1099-K TikTok files under that EIN then feeds the IRS matching system against a return reporting zero. And the moment your home-country company and your U.S. entity both touch the revenue, §482 transfer pricing governs every dollar that moves between them, priced at arm’s length or reallocated by the IRS. Which entity, which election, which pricing method, and in which filing order is a fact-specific structural decision, and in the wrong sequence, the cure triggers the penalty. The $49 formation answers none of this. Naming your cure and sequencing it so nothing backfires is exactly what Call 1 begins and the CEO Blueprint completes.
“Uploading an ID is not a big deal.”

Not anymore. TikTok removed OTP-only verification as the easy path. ID upload now runs through OCR-based identity verification. Document orientation, glare, expiration date legibility, address-on-ID matching, and image format all decide whether your submission passes the first technical gate. Most operators get rejected at this layer and assume the rejection is about their LLC.
“If I get verified, the hard part is over.”

This is the most expensive assumption. The first 90 days post-verification is the trust window. One foreign-IP login from your home country can trigger re-verification. One VPN flagged by TikTok’s IP intelligence can suspend the account. One banking change in week 3 can extend your Settlement Cycle to 7+8. Your Account Health Rating starts at 100. Below 100 triggers permanent deactivation.
“I will figure out the money side later.”

This is the layer nobody talks about. Every TikTok Shop content creator covers traffic, creators, and product virality. None of them cover how a U.S. entity collects revenue from TikTok, what gets withheld before the deposit hits, what your foreign company can legally receive, and what the LLC requires you to leave behind for tax. Brands losing money on TikTok Shop in 2026 are not losing because the channel does not work. They are losing because the money flow back to their home country is structurally inefficient.

The Rep you hired online will ghost you

The most common failure on TikTok Shop is not the video verification. It is the Representative service that signed up to be your name on the application, took your fee, and then disappeared the week TikTok asked for a re-verification video.

By the time you realize they will not respond, the account is sliding toward suspension. You cannot replace them. You cannot remove them. You cannot file a complaint that brings them back. The Rep you hired through a service is now the single point of failure for your entire TikTok Shop launch.

Even the 5-account allowance works against you

TikTok says one Representative can serve up to five accounts. What TikTok does not tell you is what happens when the other four accounts run into trouble.

My TikTok Shop is not verified yet. Can you help me get verified?

Yes, if you have not yet submitted. The Verified Path is a pre-submission engagement: we build the structure, the documentation, and the Representative governance so your first submission is your only submission. Do you provide a U.S. Business Representative?

Is TikTok Shop approval guaranteed?

Do you log into my TikTok Shop account?

Does this work for restricted categories like supplements, beauty, or electronics?
