The Verified U.S. Company · For foreign-owned brands
A verified U.S. company that passes the first time.
You decide your structure with Scott Letourneau, our CEO and founder, and we build the company to match.
We build formation, tax election, EIN, records, and bank in the order the platform, the bank, and the IRS check them.
For brands whose marketplace account and U.S. representative are already handled by their own team or agency.
One-time fee. State filing fees, mail service, notary, and postage are separate.

Scott Letourneau, CEO and founder, Nevada Corporate Planners. MainStreet Certified Tax Advisor® (2023–2025). Amazon SPN Partner, TikTok Shop Partner, Shopify Partner. 7,000+ founders served since 1997. We work with tax attorneys and CPAs.
Who this is for
The verified U.S. company we build for an account your own team runs.
Your team or agency handles the marketplace account and the U.S. representative. You need a U.S. company whose records match on the day you register the account. This is that package.
Why $1,497 when a quiz and a filing cost a few hundred dollars
A quiz forms the company before anyone has decided it.
An online formation service asks a few questions, files a default LLC, and is done in minutes. It never asks about ownership, management, your home country, your address, or your marketplace. We’re asked to fix those companies most often.
What the quiz asks
Which state?
Will you raise venture capital?
Will you issue stock to employees?
Are the founders in the U.S. or abroad?
Result: a default LLC, filed in minutes. Decided by nobody.
What your Strategy Call with Scott decides
State and entity, and who manages it from which country.
Ownership on record and the tax classification, read in the U.S. and at home.
The address service level, and any operating presence the plan requires.
What your marketplace will check in the company, and the build order of every record.
Result: decided in 30 minutes, confirmed in writing, then built in that order.
The marketplace, the bank, and the first tax return each check a different record. The Strategy Call and your intake form bring up all three before anything is filed.
Included before anything is filed
Your Marketplace Match Review, on a Strategy Call with Scott.
Your company has a destination: TikTok Shop U.S., Amazon, or Shopify Payments. We are a partner with all three. Before we file, Scott Letourneau, our CEO and founder, reviews your setup with that destination in mind and records the decisions in a next-steps email. Our team builds the company from it.
“Verified” means the company’s records match and are set up for what your marketplace will check. Your platform verifies the account with your team.
What your fee includes
Everything you get, in the order we build it.
Seven steps, delivered by two live calls and one secure form. Open any step for details.
Step 1
Marketplace Match Review and structure decision
A 30-minute Strategy Call with Scott. We decide the state, entity, management, tax election, and your marketplace before filing.
What this includes
- Ownership, who manages the company from which country, and the questions your home-country accountant answers in writing first.
- A next-steps email that completes your intake form.
- Already had this call with Scott within 14 days? It counts in full. Your balance is $997.
Step 2
Your details checked before anything is submitted
A secure intake form and a 30-minute Entity Onboarding Call with our team, reviewed against your Strategy Call decisions.
What this includes
- Name check at the state level, with up to three choices in order.
- We’ll review owners, manager, and election line by line. The team can complete the form with you on the call.
Step 3
Your U.S. mailing address, active before the IRS needs it
Your iPostal address in the company’s name and a completed Form 1583 before we submit the EIN application.
What this includes
- The plan we recommend, the activation sequence, and the notary step we walk you through.
- The same address confirmed on the articles, the SS-4, and the bank application.
- You pay iPostal for iPostal fees, notary, and postage at cost.
Step 4
Your verified U.S. company is formed, with the tax election filed
We file the articles, provide a registered agent for the first year, and file Form 8832 when your structure requires it.
What this includes
- We review the management structure in the articles before filing. The state fees are separate.
- Registered agent for 12 months, with annual report reminders.
- We prepare, file, and track Form 8832 to IRS acceptance.
Step 5
Your EIN, with the IRS letter followed to your address
The foreign-owner EIN application, submitted in sequence, and the CP 575 letter tracked to your iPostal address.
What this includes
- Form SS-4 prepared for an owner without a U.S. SSN, responsible party matched to the manager decision.
- Submitted once the mail service is active. A status email the day it goes in and the day the letter arrives. The IRS sets the timing.
Step 6
Your record book, completed for you
Operating agreement or bylaws, ownership certificates, minutes, and resolutions, written for your election and manager.
What this includes
- The agreement that matches the election. A company taxed as a corporation does not use a single-member LLC template.
- We deliver everything in a secure online folder you can share with your bank, agency, and tax preparer.
Step 7
Bank application support and your year-one tax preparer
Your Mercury application in the company’s exact legal name, and a direct introduction to our CPA firm the day the IRS letter arrives.
What this includes
- Country and ID eligibility confirmed on your Entity Onboarding Call. Mercury makes the decision on every account.
- Our CPA firm quotes you directly on the year-one return and bookkeeping, if you want it.
- We introduce you by name to an attorney, a sales tax specialist, or an insurance provider when a step calls for it.

Quick answers
Is this the right package if my agency handles my marketplace account?
Yes. Your agency sets up the account and holds the representative role under its own agreement with you. We design the structure with your marketplace in mind and build the company your agency will register.
I already have a U.S. company. Is this for me?
This package forms a new company. If yours exists, start with the Strategy Call with Scott, $500. He reviews what you have against where you will sell, and your next-steps email quotes the correction. The most common thing we’re asked to fix is a single-member LLC left on its default tax treatment.
An LLC is a few hundred dollars elsewhere. Why $1,497?
The few hundred dollars covers the state filing, and we include that here. The $1,497 buys what a filing site doesn’t: the structure decided with Scott, records written to match it, the address sequenced before the EIN, and a live review before we file anything. A wrong classification costs more to correct than this package.
I already paid for a Strategy Call with Scott. What do I pay?
If you pay within 14 days of that call, it counts in full, and your balance is $997. Your next included call is the Entity Onboarding Call with our team. If you credited the $500 toward a CEO Decision Review, that credit is spent, and this package is $1,497.
My accountant had questions after the call. Is that covered?
We answer form and document questions on your Entity Onboarding Call. Feedback that could change the structure, such as a different election or manager, is a second Strategy Call with Scott, $500. We don’t file anything until we decide the structure.
How long does it take?
The state, the IRS, and the bank set the timing. Each step starts the day the previous one clears, and you receive a status email the day we submit the EIN and the day the letter arrives. Your steps do not expire.
Does the package include the bank account and the tax return?
It includes the Mercury application, prepared in the company’s exact legal name once the CP 575 arrives. Mercury decides on every account. It includes the introduction to our CPA firm, which prepares the year-one return and quotes its fee to you directly.
You decide your structure with Scott, and we build the verified U.S. company to match it.
The company, the EIN, the records, and the bank application, in the order that works. Your agency registers a company with records that align on day one.
Your Strategy Call with Scott is booked right after payment. Already paid for it? Use the $997 order form.
The $500 Strategy Call counts once, in full, toward this package within 14 days of the call. Mercury makes every account decision. The IRS sets the timing of the EIN letter. State fees, iPostal, notary, and postage are paid at cost. Independent licensed professionals prepare tax returns, handle bookkeeping, and provide legal services and bill for them.
